The notice of the eighteenth meeting of the third board of supervisors of Zhejiang Busen apparel Limited by Share Ltd (hereinafter referred to as the "company") was issued by fax and e-mail in September 19, 2014. The meeting was held in the conference room on the third floor of the executive office building, 419 Avenue, Busen Road, Zhuji, September 25, 2014.

The meeting should be attended by 3 supervisors and 3 attended by supervisors.

The convening and convening procedure of this conference is in conformity with the relevant provisions of the company law of the People's Republic of China, the regulations of the Limited by Share Ltd of Busen clothing of Zhejiang, and the rules of the Zhejiang Busen dress supervisors meeting.

The following resolution was adopted by voting:

1. Deliberation and adoption of the motion on the general election of the board of supervisors.

The term of office of the third supervisory board of the company has expired on July 26th. This board of supervisors has agreed to nominate Ms. Ye Hongying and Mr. Huang Cun Hai as candidates for the fourth non supervisory representatives of the board of supervisors of the Fourth Board of supervisors (see Annex).

Among the candidates of the new board of supervisors, the number of supervisors who had served as directors or senior managers in the last two years did not exceed 1/2 of the total number of supervisors. The supervisors nominated by single shareholders did not exceed 1/2 of the total number of supervisors.

This motion shall be submitted to the company for consideration at the third provisional shareholders' meeting in 2014. The two supervisors candidates will be jointly elected by the staff representatives and supervisors elected by the employees' congress at the fourth meeting of the supervisory committee after the consideration of the third candidates for the third general meeting in 2014.

Results: 3 votes were in favour, 0 against, 0 for abstentions.

Ye Hongying, a female, Han nationality, was born in October 18, 1966 and is currently the Minister of Western clothing production department.

Chinese nationality, no right to live abroad, junior high school education, assistant engineer.

From December 1993 to December 1998, he was deputy manager of quality inspection department of Zhejiang Busen Clothing Co., Ltd., from January 1999 to June 2005 as Minister of Western clothing production department of Busen Group Co., Ltd. since January 1999, since then, she has been the Minister of production department of Zhejiang Busen clothing Limited by Share Ltd, and has served as the supervisor of the board of supervisors of the company since then.

Ms. Ye Hongying holds a 4.55% stake in Busen Group Limited. Busen group limited holds 83370000 shares. Ms. Ye Hongying indirectly owns 3793335 shares through Busen Group Co., accounting for 2.71% of the shares after the issue.

Ms. Ye Hongying has not been punished by the China Securities Regulatory Commission and other relevant departments and has been disciplined by the stock exchange.

Mr. Huang Cunhai's resume

Huang Cunhai, male, Han nationality, born in December 1969, has Chinese nationality and has no right to live abroad. He majoring in law, Zhejiang University.

In 2009, he passed the national judicial examination and obtained the "People's Republic of China law vocational qualification certificate" issued by the Ministry of justice.

From 1993 to 1995, he served as general manager of Zhejiang Pacific Beverage Co., Ltd.

From 1995 to 2000, he served as the head of supply and marketing of the beverage factory of Zhejiang Suichang supply and Marketing Group Co., Ltd.; in 2000, he served as the Minister of corporate culture of Busen Group Co., Ltd. and the editor in chief of Busen newspaper, and has served as the supervisor of the board of supervisors of the company since May 2013.

Mr. Huang Cunhai holds a 1.05% stake in Zhuji Dassen Investment Limited, and Dassen holds 9975000 shares of the company. Huang Cunhai shares 104738 shares indirectly through Dassen investment, accounting for 0.075% of the shares after the issue.

Mr. Huang Cunhai is not related to the controlling shareholder and other actual controllers of the company. He has not been punished by the China Securities Regulatory Commission and other relevant departments and punished by the stock exchange.
